| Abstract | Executive Summary: Corporate governance extends beyond corporate law. Its fundamental objective is not mere fulfillment of the requirements of law but in ensuring commitment of the board of directors in managing the company in a transparent manner for maximizing stakeholders value. The real onus of achieving desired levels of corporate governance lies with corporate themselves and not in external measures. This research paper gives a frame work for evaluating corporate governance practices pursued by corporates. The paper also examines the CG practices adopted by Indian Petroleum Industry with special focus on two leading Indian Petroleum companies for the years 2004- 05 to 2008-09. |
